Project Roadmap Terms of Service

1. Introduction

This Terms of Service (TOS) Agreement outlines the terms and conditions under which Hexo Partners provides the “Project Roadmap” services to the Customer. By making a purchase of the fixed-price engagement, the Customer agrees to these terms and conditions in full.

2. Services Provided

The Service covered by this TOS begins with the Discovery Meeting and ends with Hexo Partners delivering the Starter Project Roadmap ("Deliverable"). Deliverable will include recommendations, risk and mitigation register, a resource assessment, a set of proven templates personalized to the project, and a transcript of the Discovery Call. Any service beyond providing the roadmap or services related to projects outside the specified scope are explicitly excluded. By scheduling the Discovery Meeting, Client agrees to the scope of work covered by this service.

3. Payments

By booking the Discovery Meeting, Client agrees to pay the full balance of the project fee quoted at the time of engagement. Client will be invoiced for the engagement when the scope of work is completed and the Deliverable shared with the Client. Deliverable schedule is subject to all parties’ availability for scheduling the Deliverable presentation, the timeliness of information provided by the Customer, specific requests by the Customer, or other unforeseen circumstances.

4. Customer Obligations

The Customer agrees to make key stakeholders available for the discovery call and provide accurate, timely information as requested by Hexo Partners. All necessary information must be provided during the discovery call, with follow-up details submitted within 24 hours to maintain the committed delivery date. Delays in providing follow-up information may result in the automatic extension of the Deliverable deadline.

5. Confidentiality

Both Hexo Partners and the Customer agree to treat all information shared during the engagement as confidential. This confidentiality obligation will remain in effect for 12 months after the conclusion of the engagement. Any exclusions to this confidentiality must be approved by both parties in writing. Hexo Partners LLC reserves the right to use Customer’s name, logo, and general description of the project in its marketing materials, unless specifically requested by the Customer otherwise.

6. Intellectual Property

Hexo Partners retains ownership of the deliverables created during the engagement. The Customer is granted unlimited, immutable, perpetual rights to use and alter the deliverables in any way they choose. Nothing in this engagement will constrain the ability of Hexo Partners to own and re-use non-specific frameworks and methodologies developed during the project.

7. Liability and Force Majeure

Hexo Partners LLC’ total liability under this agreement is limited to the amount paid by the Customer. Unforeseen events outside of Hexo Partners’ control, such as natural disasters or technical outages, may impact delivery timelines. These events will not be grounds for a full refund.

8. Termination

This agreement may be terminated by either party upon written notice if the other party materially breaches any provision of this TOS.

Client may terminate this agreement at any time before the Discovery Call for any reason. Once the Discovery Call has been held, Client is will be responsible for the full project fee.

Hexo Partners LLC may terminate the agreement at any time for any reason. In this case, not charges will be due by the Client.

The Confidentiality and Intellectual Property clauses of the Agreement will survive termination.

9. Dispute Resolution

Any disputes arising out of or relating to this agreement shall be resolved through mediation in accordance with the laws of the Commonwealth of Massachusetts.

10. Updates to the TOS

Hexo Partners retains the right to update this TOS as needed. Customers will be notified of any material changes via the email address provided during the purchase or on the Hexo Partners website.

11. Governing Law

This TOS shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts.
